Terms of Service

We appreciate you, the user (“you”), using our website located at www.psychhub.com (the “Site”), our products, and our services (collectively, the “Services”). The Services are provided by Psych Hub, LLC (“Psych Hub”, “we”, and “us”) headquartered at 501 Union Street, STE 545 PMB 359238, Nashville, TN 37219-1876. By using the Services, you are agreeing to these Terms of Service (these “Terms”). Please read them carefully. You must follow any policies and additional terms and conditions made available to you within the Services.

By using the Services, you do NOT acquire any ownership, license, or other rights to any intellectual property, content, or any aspect of the Services used other than what is expressly granted to you in these Terms. You may not use content from the Services unless you obtain permission from its owner or are otherwise permitted by law. These Terms do not grant you the right or license to use any branding or logos used in the Services. You may not remove, obscure, or alter any branding, logos, or legal notices displayed in or along with the Services.

The Services sometimes include content that is not owned by Psych Hub but is rather utilized under license. All such content is the sole responsibility of the entity that makes it available. We may review content to determine whether it is illegal or violates our policies, and we may remove or refuse to display content that we reasonably believe violates our policies or the law. PSYCH HUB ASSUMES NO OBLIGATION IN RESPECT OF SUCH CONTENT.

THE SERVICES INCLUDE DESCRIPTIONS AND DISCUSSIONS OF BEHAVIORAL HEALTH ISSUES. WHILE WE HOPE THE CONTENT IS USEFUL, IT IS NOT INTENDED AS A SUBSTITUTE FOR, NOR DOES IT REPLACE, PROFESSIONAL MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT. THE SERVICES DO NOT PURPORT TO PROVIDE MEDICAL OR PSYCHOLOGICAL ADVICE, THERAPY, OR TREATMENT. RATHER, THE SERVICES ARE DESIGNED TO EDUCATE YOU ABOUT THE AVAILABILITY OF QUALIFIED MEDICAL, PSYCHOLOGICAL AND BEHAVIORAL ADVICE, TREATMENT, AND THERAPY. YOU SHOULD NOT RELY ON THE SERVICES AS MEDICAL, BEHAVIORAL, OR PSYCHOLOGICAL ADVICE, TREATMENT, OR THERAPY. YOU SHOULD ONLY OBTAIN MEDICAL, BEHAVIORAL, OR PSYCHOLOGICAL ADVICE, TREATMENT, OR THERAPY FROM A QUALIFIED DOCTOR, THERAPIST, OR LICENSED PROFESSIONAL. THE SERVICES INCLUDE INFORMATION ABOUT WHERE YOU CAN SEEK QUALIFIED MEDICAL, PSYCHOLOGICAL, AND BEHAVIORAL ADVICE, TREATMENT, AND THERAPY AND WE ENCOURAGE YOU TO UTILIZE THOSE ASPECTS OF THE SERVICES IF YOU FEEL THAT YOU NEED THEM.

Don’t misuse the Services. For example, don’t interfere with the Services or try to access them using a method other than the interface and the instructions that we provide. You may use the Services only as permitted by law. We may suspend or stop providing the Services to you if you do not comply with our terms or policies or if we are investigating suspected misconduct.

In connection with your use of the Services, we may send you service announcements, administrative messages, and other information. You may opt-out of some of those communications.

Some of the Services are available on mobile devices. Do not use such Services in a way that distracts you and prevents you from obeying traffic or safety laws or otherwise when in a situation that demands your attention.

MODIFYING AND TERMINATING THE SERVICES

We are constantly changing and improving the Services. We may also stop providing Services to you or add or create new limits to the Services at any time. We may add or remove functionality or features, and we may suspend or stop a Service altogether at our discretion.

We may modify these Terms or any additional terms that apply to a Service to, from time to time, including, without limitation, to reflect changes to the law or changes to the Services. You should look at these Terms regularly. We will post notice of modifications to these terms on this page. We’ll post notice of modified additional terms in the applicable Service. Changes will not apply retroactively and will become effective no sooner than fourteen days after they are posted. However, changes addressing new functions for a Service or changes made for legal reasons will be effective immediately. If you do not agree to the modified terms for a Service, you should discontinue your use of that Service.

●     These Terms are governed by the laws of the State of Delaware (and where applicable, federal law) as applied to contracts made and to be performed entirely within Delaware, without giving effect to the state’s conflict of laws statutes.

●     These Terms control the relationship between Psych Hub and you. They do not create any third-party beneficiary rights.

●     We reserve the right (but have no obligation) to review, refuse and/or remove any content you provide us in our sole discretion, and to investigate and/or take appropriate action against you in our sole discretion if you violate any provision of these Terms or otherwise create liability for us or any other person or entity. Such action may include removing or modifying your content, terminating your Psych Hub account, and/or reporting you to law enforcement authorities.

The Services may be subject to U.S. export control laws and may be subject to export or import regulations in other countries. You agree not to export, reexport, or transfer, directly or indirectly, any U.S. technical data acquired from us, or any products utilizing such data, in violation of the United States export laws or regulations.

LICENSE

Subject to your compliance with these Terms, Psych Hub grants you a non-transferable, non-sublicensable, non-exclusive, revocable, limited license to access and use the Services solely for your personal non-commercial use (the “License”).

MARKETPLACE

The Services may include access to a platform where you may be able to search for and connect with third-party healthcare providers (the “Marketplace”). In order to direct you to the appropriate third-party healthcare provider through the Marketplace, you may be asked to submit certain information via an online form or through a third-party link embedded in the Marketplace. Our compensation for the Marketplace is based solely on the volume of users who engage with the third-party healthcare providers with whom we provide connections through the Marketplace and is not based on or contingent upon specific referrals or endorsements of any particular third-party healthcare provider. YOUR PSYCH HUB ACCOUNT

You may need a Psych Hub account in order to use some of the Services. You may create your own Psych Hub account, or your Psych Hub account may be assigned to you by an administrator, such as your employer or educational institution. If you are using a Psych Hub account assigned to you by an administrator, different or additional terms may apply, and your administrator may be able to access or disable your Psych Hub account.

To protect your Psych Hub account, keep your password confidential. You are responsible for the activity that happens on or through your Psych Hub account. Try not to reuse your Psych Hub account password on third-party applications. If you learn of any unauthorized use of your password or Psych Hub account, follow these instructions.

If you create a Psych Hub account or use the Services on behalf of an individual or entity other than yourself, you represent and warrant that you have sufficient authority by such individual or entity to accept these Terms on behalf of such individual or entity and bind them to these Terms. In such case, any reference to “you” or “your” in these Terms (except in this sentence) will refer to such individual or entity.

NO DOCTOR PATIENT RELATIONSHIP

Some of the Services may facilitate your connection with a licensed medical professional. Notwithstanding anything else to the contrary, Psych Hub is not a healthcare provider and you acknowledge and agree that your use of the Services and any content available therein does not create a licensed medical professional/patient relationship.

Psych Hub is not a referral service and does not refer, recommend, or endorse any particular healthcare provider, test, procedure, opinion, or other information that may appear through the Services. If you rely on the Services or any advice or output obtained therefrom, you do so solely at your own risk. We encourage you to independently confirm any account relevant to you with other sources, including the healthcare provider’s office, medical associations relevant to the applicable specialty, your state medical boards, and the appropriate licensing or certification authorities to verify listed credentials and education. [2] 

COPYRIGHT PROTECTION

We respond to notices of alleged copyright infringement and terminate accounts of repeat infringers according to the process set out in the U.S. Digital Millennium Copyright Act.

We provide information to help copyright holders manage their intellectual property online. If you think somebody is violating your copyrights and want to notify us, please do so at support@psychhub.com.

YOUR CONTENT ON THE SERVICES

Some of the Services allow you to upload, submit, store, send or receive content[3] . You retain ownership of any intellectual property rights that you hold in that content. In short, what belongs to you stays yours.

When you upload, submit, store, send or receive content to or through the Services, you give Psych Hub (and our partners, sponsors, and users) a fully paid up, royalty-free, worldwide, sublicensable, transferrable, license to use, host, store, reproduce, modify, create derivative works (including, without limitation, those resulting from translations, adaptations or other changes we make so that your content can be used within the Services), communicate, publish, publicly perform, publicly display and distribute such content. The rights you grant in this license are for the limited purpose of operating, promoting, and improving the Services, and developing new and improving current services, features, and capabilities. This license continues even if you stop using the Services. Some Services may offer you ways to access and remove content that has been provided to that Service. Also, in some of the Services, there are terms or settings that change the scope of our use of the content submitted in those Services. Make sure you have the necessary rights to grant us this license for any content that you submit to the Services. Uploaded information is the sole responsibility of the person from whom such information originated and does not reflect the opinion of Psych Hub. Psych Hub does not assume liability for uploaded information or for any claims, liabilities, or losses resulting from any uploaded information.

All information and content we collect from your use of the Services (including information you may enter in connection with your use of the Marketplace) is subject to our Privacy Policy found at https://psychhub.com/privacy-policy. By using the Services, you consent to all actions we take with respect to the content and information we collect and use in compliance with our Privacy Policy.

RESTRICTIONS

You acknowledge and agree that the Services as well as the databases, software, content, hardware, and other technology, and networks used by or on behalf of Psych Hub and its third-party providers to operate and/or provide the Services, and the structure, organization, and underlying data, information, and software code thereof (collectively, the “Technology”), constitute valuable intellectual property of Psych Hub and its third-party providers. Without limiting your other obligations under these Terms, and as a condition to the rights granted herein, including, without limitation, the License, you will not, and will not permit any other third party to: (a) use, access, or attempt to access or use the Technology or any portion thereof except as expressly provided in these Terms; (b) use the Technology in any unlawful manner or in any other manner that could damage, disable, overburden or impair the Technology; (c) use automated scripts to collect information from or otherwise interact with the Technology; (d) alter, modify, reproduce, create derivative works of the Technology; (e) distribute, sell, resell, lend, loan, lease, license, sublicense or transfer any rights to access or use the Technology or otherwise make the Technology available to any third party; (f) reverse engineer, disassemble, decompile, or otherwise attempt to derive the method of operation of the Technology; (g) attempt to circumvent or overcome any technological protection measures intended to restrict access to any portion of the Technology; (h) use the Technology to transmit, distribute, redirect, or store material that, as reasonably determined by Psych Hub, is unlawful, inappropriate, obscene, defamatory, libelous, threatening, abusive, hateful or which contains or incites violence; or (i) alter, obscure, or remove any copyright, trademark, or any other notices that are provided on or in connection with the Technology.

ACCEPTABLE USE POLICY

You agree not to use the Site or the Services to collect, upload, transmit, display, or distribute any content (a) that violates any third party right, including any copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right; (b) that is unlawful, harassing, abusive, tortious, threatening, harmful, invasive of another’s privacy, vulgar, defamatory, false, intentionally misleading, trade libelous, pornographic, obscene, patently offensive, promotes racism, bigotry, hatred, or physical harm of any kind against any group or individual or is otherwise objectionable; (c) that is harmful to animals or minors in any way; or (d) that is in violation of any law, regulation, or obligations or restrictions imposed by any third party.

ABOUT SOFTWARE IN THE SERVICES

When a Service requires or includes downloadable software, this software may update automatically on your device once a new version or feature is available. Any such software made available to you is considered, for purposes of these Terms, to be part of the Services. Some Services may let you adjust your automatic update settings.

Psych Hub grants you a personal, worldwide, royalty-free, non-assignable, and non-exclusive license to access, use, and, where offered by Psych Hub, download the software provided to you by Psych Hub as part of the Services. This license is for the sole purpose of enabling you to use and enjoy the benefit of the Services as provided by Psych Hub, in the manner permitted by these Terms. You may not copy, modify, distribute, sell, or lease any part of the Services or included software, nor may you reverse engineer or attempt to extract the source code of that software, unless applicable laws prohibit those restrictions or you have our written permission.

Open-source software is important to us. Some software used in the Services may be offered under an open-source license that we will make available to you. There may be provisions in the open-source license that expressly override some of these Terms.

TERMS OF SALE

Payment and Billing Information

By providing a credit card or other payment method that we accept, you represent and warrant that you are authorized to use the designated payment method and that you authorize us (or our third-party payment processor) to charge your payment method for the total amount of your purchase (including any applicable taxes and other charges) (each, a “Transaction”). If the payment method cannot be verified, is invalid or is otherwise not acceptable, your Transaction may be suspended or canceled. You must resolve any payment method problems before we proceed with your Transaction. If you want to change or update your payment method information, you can do so at any time by logging into your Psych Hub account. You agree to maintain the security of your Psych Hub account on the Services, including the security of your password and other confidential information relating to the use of the Services and your Psych Hub account. You agree to be responsible for all charges resulting from the use of your Psych Hub account on the Services, including charges resulting from unauthorized use of your Psych Hub account prior to your notification of such unauthorized use to Psych Hub.

You acknowledge that the amount billed may vary due to promotional offers, preferences you select, or changes in applicable taxes or other charges, and you authorize us (or our third party-payment processor) to charge your payment method for the corresponding amount.

Continuous Subscription; Cancellation Policy

When you register for an automatically recurring subscription, you expressly acknowledge and agree that Psych Hub (or our third-party payment processor) is authorized to charge you on a recurring basis for your subscription (in addition to any applicable taxes and other charges) for as long as your subscription continues. You may cancel your subscription at any time by contacting us at support@psychhub.com.

Pricing and Availability

All prices on the Services are shown in U.S. dollars and applicable taxes and other charges, if any, are additional. We reserve the right to adjust prices as we may determine at our sole discretion, at any time and without notice, including without limitation, as based on geographic or other criteria as we may establish from time to time. We will not, however, be able to notify you of changes in any applicable taxes.

All of the Services are subject to availability, and we reserve the right to impose quantity limits on any transaction, to reject all or part of a transaction, and to discontinue offering certain Services without prior notice.

Taxes

We will collect applicable sales, use and other tax (collectively, “Tax”) on Services for which we determine we have a duty to collect Tax. If a Service is subject to Tax, you agree that the amount of Tax shown at checkout may be adjusted. Several factors may cause this, such as variances between processor programs and changes in applicable Tax rates.

Refunds

All sales are final. We do not provide refunds on orders.

THIRD PARTY LINKS

While using the Services, you may encounter links to other websites (including being redirected to the sites of third-party healthcare providers, e.g., through the Marketplace). These links are provided for your convenience only and we do not endorse these sites or the products and services they provide. You acknowledge and agree that we are not responsible or liable for the content or accuracy of these other websites. Although we attempt to link to trustworthy websites, it is possible that they will contain materials that are objectionable, unlawful, or inaccurate and we will not be responsible or liable for the legality or decency of material contained in or accessed through such other websites. By using the Services, you release and hold us harmless from any and all liability arising from your use of any third-party website or service. Please note that once you are redirected to a third-party website or service, all activities, interactions, and use of that website or service, including the handling of your information, are governed by such third-party provider’s terms and conditions and privacy policy. Your interactions with organizations and/or individuals found on or through the Services, including payment and delivery of goods or services, and any other terms, conditions, warranties or representations associated with such dealing, are solely between you and such organizations and/or individuals. You should make whatever investigation you feel necessary or appropriate before proceeding with any online or offline transaction with any of these third parties. Psych Hub is not responsible for the content or practices of these external providers and you agree that Psych Hub will not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings.

OUR WARRANTIES AND DISCLAIMERS

We provide the Services using a commercially reasonable level of skill and care and we hope that you will enjoy using them. There are certain things that we don’t promise about the Services.

Other than as expressly set out in these Terms or additional terms we provide, Psych Hub and its suppliers or distributors do not make any specific promises about the services. For example, we don’t make any commitments about the content within the services, the specific functions of the services, or their reliability, availability, or ability to meet your needs. All Services are provided “AS-IS”, “WITH ALL FAULTS”, and “AS AVAILABLE”. We and our suppliers make no warranty that the site will meet any of your requirements, will be available on an uninterrupted, timely, secure, or error-free basis, or will be accurate, reliable, free of viruses or other harmful code, complete, legal, or safe. Except as expressly set forth in these Terms, we make no representations or warranties of any kind, whether express, implied, or statutory, in connection with these Terms or the Services, including, without limitation, any warranties of fitness for a particular purpose, merchantability, title, non-infringement, availability or error-free operation. No oral or written information or statements given by use or any of our employees, distributors, dealers, or agents will increase the scope of, or create any new warranties in addition to the warranties expressly set forth in these Terms.

All content available through the Services are informational and educational resources. No party (including Psych Hub) involved in the preparation or publication of such works guarantees that the content made available through the Services is timely, accurate, or complete.

Psych Hub (a) does not employ, refer, recommend, or endorse any healthcare providers; (b) does not make any representations or warranties with respect to healthcare providers made available through the Services or the quality of services provided by such healthcare providers; (c) is not responsible for ensuring that information (including credentials, certifications, and licensure) a healthcare provider provides about himself or herself is accurate or current; (d) is not responsible for making sure the services provided by healthcare providers are actually provided or are up to a certain standard of quality; and (e) does not receive any additional fees from healthcare providers for featuring them (i.e., higher or better placement on lists) through the Services. Psych Hub does not control the actions of any healthcare providers.

To help you find healthcare providers that may be suitable for your needs and enable the maximum choice and diversity of healthcare providers participating in the Services, we may provide you with lists, directories, or profiles of healthcare providers. Any search results are based on information you provide to us, such as insurance information, geographical location, and healthcare specialty, and or services they provide. They may also be partially based on other criteria, e.g., healthcare availability, past selections by, and/or ratings of healthcare providers by you, by other users of the Services, or by past experiences of users with healthcare providers. Please note there may be other healthcare providers who meet your search criteria but are not available through the Services.[4] 

If applicable law requires any warranties with respect to the Site and the Services, all such warranties are limited in duration to ninety (90) days from the date of first use. Some jurisdictions provide for certain warranties, like the implied warranty of merchantability, fitness for a particular purpose, and non-infringement. To the extent permitted by law, we exclude all warranties.

LIABILITY FOR THE SERVICES

Psych Hub, and Psych Hub’s suppliers and distributors, are not and will not be responsible for lost data, lost profits, revenues, data, financial losses, or indirect, special, consequential, exemplary, or punitive damages even if we have been advised of the possibility of such damages and/or losses.

Your sole remedy for dissatisfaction with the Services or the Site is to discontinue using the Services or accessing the Site. In no event will the total liability of Psych Hub, and its suppliers and distributors, for any claims under these Terms, including for any implied warranties, is limited to the amount you have personally paid us to use the Services giving rise to liability and if you have not paid any such amount, then USD $100.00. The existence of more than one claim will not enlarge this limit. You agree that our suppliers and distributors will have no liability of any kind arising from or relating to these Terms.

In all cases, Psych Hub, and its suppliers and distributors, will not be liable for any loss or damage that is not reasonably foreseeable.

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitation(s) or exclusion(s) may not apply to you.

YOU SHALL AND HEREBY WAIVE YOUR RIGHTS WITH RESPECT TO CALIFORNIA CIVIL CODE SECTION 1542 OR ANY SIMILAR LAW OF ANY JURISDICTION, WHICH SAYS IN SUBSTANCE THAT “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, AND THAT, IF KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY.”

INDEMNIFICATION

You will hold harmless and indemnify Psych Hub and its affiliates, officers, agents, and employees from any claim, suit or action arising from or related to (a) your fraud, gross negligence, or willful misconduct, (b) your use of the Services, (c) your violation of these Terms or any applicable laws, rules or regulations, including, without limitation, any liability or expense we or our affiliates, officers, agents, or employees incur arising from such claims, losses, damages, suits, judgments, litigation costs, and attorneys’ fees, or (d) any content you post or submit that infringes, misappropriate, or otherwise violates a third party’s intellectual property rights.

WAIVER OF CLASS OR CONSOLIDATED ACTIONS

ALL CLAIMS AND DISPUTES RELATED TO OR ARISING FROM THESE TERMS MUST BE LITIGATED ON AN INDIVIDUAL BASIS AND NOT ON A CLASS BASIS. CLAIMS OF MORE THAN ONE CUSTOMER OR USER CANNOT BE LITIGATED JOINTLY OR CONSOLIDATED WITH THOSE OF ANY OTHER CUSTOMER OR USER. If, however, this waiver of class or consolidated actions is deemed invalid or unenforceable, neither you nor Psych Hub is entitled to arbitration; instead, all claims and disputes will be resolved in a court of appropriate jurisdiction.

 

MISCELLANEOUS

Electronic Contracting; Copyright Dispute

Your affirmative act of using the Services and/or creating a Psych Hub account constitutes your electronic signature to these Terms, which includes our Privacy Policy. These Terms and any other documents to be delivered in connection with the Services may be electronically signed, and any electronic signatures are the same as handwritten signatures for the purposes of validity, enforceability, and admissibility.

 

Phone/ Text Communications

(a) Transactional Communications. By voluntarily providing your mobile phone number to Psych Hub and agreeing to receive text messages, you expressly agree that Psych Hub may contact you by telephone, SMS, or MMS messages (or successor protocols or technologies) for transactional, operational, or informational purposes, including appointment confirmations, appointment reminders, and post-appointment feedback requests, at the phone number provided. Message and data rates may apply. Message frequency varies. Reply STOP to cancel or HELP for help.

 

(b) Marketing Communications. By opting in to receive recurring automated marketing calls or text messages (such as SMS, MMS, or successor protocols or technologies) from Psych Hub, you expressly agree to receive messages concerning the marketing and sale of our products, services, offers, promotions, and events, as well as your relationship with us, including your orders and the products and services that you have inquired about. You understand that consent is not required to make any purchase from us. Message and data rates may apply. Message frequency varies. Reply STOP to cancel or HELP for help.

 

(c) Representations; Indemnity: You represent and warrant that the mobile number provided to us is true and accurate, and that each person you register for the Services or for whom you provide a wireless phone number has consented to receive communications from Psych Hub. You agree to indemnify and hold Psych Hub harmless from and against any and all claims, liabilities, damages (actual and consequential), losses and expenses (including attorneys’ fees) arising from or in any way related to your breach of the foregoing, including claims under the Federal Telephone Consumer Protection Act or any state law equivalents, as well as claims relating to your voluntary provision of a telephone number that is not owned by you and/or your failure to update your account information for any changes in your mobile telephone number.

 

(d) Participation Requirements. You must have a wireless device of your own, capable of two-way messaging, be using a participating wireless carrier, and be a wireless service subscriber with text messaging service. Not all mobile devices may be supported and our messages may not be deliverable in all areas. Message and data rates from your mobile telephone service provider may apply and are subject to the terms and conditions imposed by your provider.

 

(e) Opt-Out Instructions: You can opt out of receiving transactional and/or marketing text messages at any time by adjusting your notification settings in your account, replying STOP, END, CANCEL, UNSUBSCRIBE, or QUIT to any message that you receive from us, or otherwise following the given instructions for doing so. You acknowledge and agree to accept a final text message confirming your opt-out. Note that opting out of receiving all texts may impact your use of the Services.

 

(f) Accurate Account Information: If you change the phone number(s), you should update your Psych Hub account information and the phone number(s) attached to your account to assure we have up-to-date contact information, and any new phone number(s) you attach to your account may receive Psych Hub’s standard SMS messages unless you also unsubscribe via the above procedures.

 

Limitation of Claims

No action arising under or in connection with these Terms, regardless of the form, may be brought by you more than one (1) year after the cause of action arose; actions brought thereafter are forever barred.

 

Severability

In the event any one or more of the provisions of these Terms shall for any reason be held to be invalid, illegal or unenforceable, the remaining provisions of these Terms shall be unimpaired. Further, the invalid, illegal or unenforceable provision shall be replaced by a provision that comes closest to the intention of the parties that underlie the invalid, illegal or unenforceable provision, except to the extent no such provision is valid, legal and enforceable, in which case such invalid, illegal or unenforceable provision shall be limited or eliminated to the minimum extent necessary so that the other provisions of these Terms remain in full force and effect and enforceable.

 

Entire Agreement; Waiver

These Terms and any supplemental terms, policies, rules and guidelines posted through the Services, each of which are incorporated herein by reference, including the Privacy Policy, constitute the entire agreement between you and us and supersede all previous written or oral agreements. If there is a conflict between these Terms and any additional terms we provide, the additional terms will control for that conflict. The failure of either party to exercise in any respect any right provided for herein shall not be deemed a waiver of any further rights hereunder.

 

Headings

The headings of the sections of these Terms are for convenience only, do not form a part hereof, and in no way limit, define, describe, modify, interpret or construe the meaning, scope or intent of these Terms or any terms or conditions therein.

 

Assignment

We may assign these Terms at any time, including, without limitation, to any parent, subsidiary, or any affiliated company, or as part of the sale to, merger with, or other transfer of our business or any assets to another entity. You may not assign, transfer or sublicense these Terms to anyone else and any attempt to do so in violation of this section shall be null and void.

 

Eligibility

You must be 18 years of age or over, or the legal age to form a binding contract in your jurisdiction if that age is greater than 18 years of age, to create a Psych Hub account or use the Services on your own. Those under the age of 13 may not use the Services. If you are between the ages of 13 and 18 or the applicable legal age in your jurisdiction, you can use the Services only under the supervision of your parent or guardian who has agreed to these Terms of Use. By using the Services on behalf of a minor child, you represent and warrant that you are the parent or legal guardian of such child, and that all references in these Terms of Use to “you” shall refer to such child or such other individual on whose behalf you have authorization to enter into these Terms of Use and you in your capacity as the parent or legal guardian of such child or as the authorized party of such individual.

 

If you do not qualify under these Terms of Use, you may not use the Services. Use of the Services is void where prohibited by applicable law, and the right to access the Services is revoked in such jurisdictions. By using the Services, you represent and warrant that you have the right, authority, and capacity to enter into these Terms of Use. The Services are administered in the U.S. and intended for U.S. users only; any use outside of the U.S. or use related to activities outside of the U.S. is prohibited and at the user’s own risk. Users are responsible for compliance with any local, state or federal laws applicable to their use of the Services.
